Terms and conditions. — Manufacturing & Commercial Agreement

General commercial terms and manufacturing parameters for private-label sock programmes produced by Knit World Apparels Pvt. Ltd..

1. Scope of Agreement

These terms govern development sampling, technical specification confirmation, and bulk manufacturing orders placed with Knit World Apparels Pvt. Ltd. ("the Manufacturer"). By submitting a purchase order, tech pack, or manufacturing brief, the Buyer agrees to these standard commercial terms.

2. Development & Sampling

Development samples are prepared against the technical specifications, reference socks, and artwork provided by the Buyer. Written approval of physical counter-samples is mandatory before bulk yarn procurement and machine scheduling commence. The signed physical counter-sample serves as the exclusive quality reference for production.

3. Production Tolerances & Quantities

Given the technical nature of circular knitting and yarn shrinkage properties during washing and steam boarding, an industry-standard commercial tolerance of ±3% to ±5% on final delivered quantities and sizing dimensions is standard across bulk sock programmes.

4. Intellectual Property & Artwork Protection

All custom logos, Jacquard pattern files, proprietary brand artwork, and custom packaging designs supplied by the Buyer remain the exclusive intellectual property of the Buyer. Knit World Apparels Pvt. Ltd. undertakes not to reproduce, resell, or distribute client-branded products to any unauthorized third party.

5. Inspection & Quality Claims

Production is inspected according to our ISO 9001:2015 certified 3-stage quality protocol. Sourcing teams or accredited third-party inspection agencies are welcome to inspect completed shipments at our Kundli facility prior to final dispatch. Any quality claims must be submitted in writing within 14 calendar days of consignment receipt.

6. Logistics, Dispatch & Shipping

Standard orders are fulfilled Ex-Works (EXW) or Free on Board (FOB) as agreed in writing. Risk of loss passes to the Buyer upon handover to the nominated carrier or logistics partner. We provide complete commercial invoices, packing lists, and export documentation required for customs clearance.

7. Governing Law & Jurisdiction

All agreements and purchase orders are governed by the laws of India, with exclusive commercial jurisdiction vested in the courts of Sonipat / Haryana.
